The Com­pa­ny ad­vis­es that Joseph P Esau steps down as Chair­man of the Board with ef­fect from April 30 2012, and Chris­t­ian E Mout­tet will be Chair­man from that date. Both Mr Esau and Mr Mout­tet have been di­rec­tors of Pres­tige Hold­ings Lim­it­ed since the ac­qui­si­tion of the Com­pa­ny from Pep­si­co in 1997.

Mr Esau will con­tin­ue as a mem­ber of the Board of Di­rec­tors, and will serve as Chair­man of the Cor­po­rate Gov­er­nance and Nom­i­na­tions, and the Com­pen­sa­tion and Hu­man Re­sources Com­mit­tees. The Board ex­press­es its ap­pre­ci­a­tion to Mr Esau for his lead­er­ship as Chair­man of the Com­pa­ny for the past fif­teen years.

Kurt Miller elect­ed as a Di­rec­tor of the Com­pa­ny At the An­nu­al Meet­ing of Share­hold­ers held on April 25 2012, Mr Kurt Miller was elect­ed to the Board of Di­rec­tors. Mr Miller is a Se­nior Part­ner and Head of the Com­mer­cial De­part­ment of Fitzwilliam, Stone, Fur­ness-Smith & Mor­gan. He joined the Firm in 1986 and has been a Part­ner since 1992.
